Wholesale Parts Terms and Conditions
These Terms and Conditions ("Terms") govern every purchase of automotive parts ("Parts") you make from Performance Auto Group ("Performance"). When you place an order, you agree to follow these Terms and all applicable laws. We urge you to read them carefully. If you have questions, please contact our Parts team at [email protected]. We value your business and aim to serve you with excellence.
Pricing
We may change prices at any time without notice, but we will not alter prices for orders you have already placed and we have confirmed. We recommend checking current prices at the time of your purchase. Our prices do not include taxes, shipping, or handling fees, which we will add at checkout or include in your invoice.
Payment Terms
We allow eligible customers to purchase Parts on credit after we approve your credit application. To apply, you must submit a completed credit application, and we will notify you of our decision within 5 to 10 business days. If approved, we issue monthly statements detailing your purchases, with payment due within 30 days of the statement date, as outlined in your credit application. You may pay by credit card, bank transfer, or other approved methods. We apply a 3% surcharge on all credit card payments, but we waive this surcharge if you pay within 30 days of the month-end statement date. If you fail to pay by the due date, we charge interest on overdue amounts at 2% per month. For orders not on credit, you must pay the full amount when you place the order using an approved method. We conduct all transactions in Canadian Dollars (CAD) unless we agree otherwise. If you do not pay on time, we may suspend your credit account, initiate collection actions, and hold you liable for all reasonable collection costs, including legal fees.
Order Processing and Shipping
We endeavor to process and ship in-stock orders within 24 hours of your order confirmation, except for orders placed on weekends or holidays, which we process on the next business day. For large or heavy Parts, such as engine blocks or body panels, or for special orders, we may need extra time to arrange shipping and confirm any additional costs with you.
If we ship parts using a third-party service, then we transfer risk of loss to you at the time we deliver the parts to that service. We provide estimated delivery times, but we do not guarantee them and are not liable for delays caused by carriers or other external factors. You may be able to get compensation from the carrier if a part is damaged in transit (whether from us to you, or from you to us). Please contact your carrier for more information. We’ll do our best to work with you and the carrier to figure out what happened.
Order Cancellation and Returns
You may cancel an order at no cost before we ship it by contacting us immediately. After we ship, you may request a return within 15 days of delivery, but we must approve the request. To be eligible, Parts must remain unused, uninstalled, unmodified, undamaged, and in their original packaging. We do not accept returns for airbags and related components, electrical components, special or custom orders valued under $20.00, or Parts that you have used, installed, modified, or damaged. Other parts may be non-returnable and will be marked as such on the invoice and communicated to you before the Part ships.
To start a return, provide us with your invoice number and the reason for the return. If we approve, you must return the Parts within 15 days of our approval, securely packaged to prevent damage, and include a copy of the invoice and return authorization number. We inspect returned Parts within 5 business days. If approved, we issue a credit memo within 7 business days, deducting a 20% restocking fee unless the return results from our error. Refunds do not cover shipping costs. We reject Parts damaged during return shipping.
Missing, Damaged, or Incorrect Parts
You must inspect all Parts immediately upon delivery. If you receive missing, damaged, or incorrect Parts, notify the dealership you ordered from within 72 hours of delivery. For damage claims, submit your request within 72 hours and include photos of the shipping label, Part number label, and the damage (one to three images). For partially damaged Parts, include a repair quote. We do not accept damage claims for Parts you have installed, painted, or sanded. If we approve a claim, we may replace, repair, or refund the Part at our discretion. We do not accept claims reported after 72 hours, regardless of fault.
Installation and Use
You are responsible for installing Parts correctly according to the manufacturer’s instructions. We are not liable for any errors, damage, or losses caused by improper installation or use. We strongly recommend that qualified professionals install Parts to ensure safety and compliance with manufacturer guidelines.
Manufacturer’s Warranty
A manufacturer’s warranty may apply to the parts you purchased. To learn about warranty terms, contact the manufacturer directly or ask us for assistance. We do not offer any warranties beyond those provided by the manufacturer.
Limitation of Liability
Unless otherwise expressly stated in these Terms, you expressly acknowledge and agree that, to the fullest extent permitted by law, the liability of the Company, its affiliates, owners, directors, officers, employees, and agents whether arising from contract, tort, negligence, or any other legal theory is strictly limited to the purchase price of the Parts giving rise to the claim. We bear no responsibility for indirect, incidental, special, punitive, or consequential damages, including but not limited to lost profits or business interruption, even if we are aware of the possibility of such damages. You assume all risks associated with the use, installation, or handling of the Parts, subject only to applicable manufacturer warranties and your adherence to proper installation procedures. We are not liable for any damages resulting from your failure to follow manufacturer instructions or from improper use, modification, or installation of the Parts.
Force Majeure
We are not liable for delays or failures to perform our obligations under these Terms due to events beyond our reasonable control, including but not limited to natural disasters, labor disputes, supply chain disruptions, or government actions.
Indemnity
You agree to indemnify, defend, and hold harmless Performance, its affiliates, owners, directors, officers, employees, and agents from any claims, damages, or liabilities arising from your improper use, installation, modification, or handling of the Parts.
Governing Law and Dispute Resolution
The laws of the Province of Ontario, Canada, govern these Terms and any disputes arising from your purchases, regardless of conflict of law principles. You agree that only the courts of Ontario, Canada, may hear any disputes. Before taking legal action, you must attempt to resolve disputes through good-faith negotiation. If negotiation fails, you and we will proceed to mediation, sharing mediation costs equally, before pursuing litigation.
Prohibited Activities
You may not use automated tools, such as robots, scrapers, or crawlers, to access, collect, or extract data from our website or systems without our prior written consent. Such unauthorized access is strictly prohibited and may lead to legal action or termination of your access to our services. Any misuse of our services or violation of these Terms may result in account suspension or legal consequences.
Amendments
We may revise these Terms at any time. Revised Terms apply to all orders placed after the effective date of the change. You can find the current Terms on our website or request a copy from us.
